STAMFORD CHORAL SOCIETY CONSTITUTION 2006

1. NAME

The name of the Society shall be STAMFORD CHORAL SOCIETY (hereinafter referred to as the Society).

2. OBJECT

To educate the public in the arts and sciences, and in particular the art and science of music, by the presentation of concerts and other activities.

3. MEMBERSHIP

The members of the Society shall be those persons who pay the annual subscription at the appropriate rate as determined by the Committee and comply with such requirements as to attendance at rehearsals as the Committee may require.

4. OFFICERS AND THE COMMITTEE

The management of the Society shall be the responsibility of the Committee consisting of Chairman, Honorary Secretary, Honorary Treasurer, Concert Secretary, Publicity Officer, Marketing Officer, Programmes Officer, Friends Secretary, Soprano Representative, Alto Representative, Tenor Representative, Bass Representative, National Federation of Music Societies (NFMS) Representative. The Officers (other than the NFMS Representative) and other Committee members shall be elected by and out of the Society's members at the Annual General Meeting.
Any 6 committee members shall form a quorum.
The Committee shall have the power to co-opt.

5. MANAGEMENT

All arrangements for the concerts and other events and the control of finance shall be in the hands of the Committee.

6. FINANCE

(a) The financial year shall end on 31 July

(b) A bank account shall be opened in the name of Stamford Choral Society. Cheques shall be signed by any two of the following officers: Chairman, Honorary Secretary, Honorary Treasurer and one other committee member as agreed by the committee.

(c) The Society may receive donations, grants and financial guarantees and tickets for any or all of its concerts and other events may be offered for sale to the public.

(d) The income and property of the Society shall be applied solely towards promoting the objects of the Society and no portion thereof shall be paid or transferred either directly or indirectly to any member or members of the Society except in payment of legitimate expenses incurred on behalf of the Society

(e) In the event of the winding-up or dissolution of the Society any remaining assets after all liabilities have been discharged shall not be paid or transferred to any member or members of the Society but shall be transferred to a charitable organisation whose objects are similar to those of the Society and whose rules preclude the distribution of income and assets among its members.

(f) The financial accounts shall be examined to the extent required by legislation current at the time or, if there is no such requirement, examined by a suitably qualified person who is independent of the Committee.

7. ANNUAL GENERAL MEETING

An Annual General Meeting shall be held during the autumn term, notice of which should be given at least fourteen days in advance. The business of the meeting shall be to receive the accounts and reports of the Treasurer and Chairman and to elect the Officers and other members of the Committee.

8. EXTRA-ORDINARY GENERAL MEETING

An Extra-ordinary General Meeting shall be called within fourteen days of receipt by the Secretary of written application by a proposer and seconder (such application to state the nature of the proposition) or by decision of the Committee.

9. AMENDMENTS

The constitution may be amended by a two-thirds majority of the members present at an Annual or Extra-ordinary General Meeting, provided that fourteen days notice of the proposed amendments has been sent to all members and provided also that nothing herein contained shall authorise any amendment which shall have the effect of the Society ceasing to be a charity.
